Terms of Service

2. Services

WayWiser IT provides software development, consulting, and related IT services. Specific deliverables, timelines, and pricing are agreed upon in individual project proposals or retainer agreements.

3. Engagement Process

• All projects begin with a written proposal or statement of work (SOW)
• Work commences upon signed agreement and receipt of any agreed deposit
• Changes in scope require written agreement and may affect pricing/timeline

4. Payment Terms

• Project-based: 50% upfront, 50% on delivery (unless otherwise agreed)
• Retainers: invoiced monthly in advance
• Payment due within 14 days of invoice
• All prices are in EUR and exclusive of VAT where applicable

5. Intellectual Property

Upon full payment, all custom-developed code and deliverables are transferred to the client. We retain the right to use general techniques, knowledge, and non-proprietary components. Pre-existing IP and open-source components remain under their respective licenses.

6. Warranties & Bug Fixes

We provide a 30-day bug-fix warranty from delivery. This covers defects relative to the agreed specification. Feature additions and changes beyond the original scope are not covered.

7. Limitation of Liability

Our total liability is limited to the fees paid for the specific project or the last 3 months of retainer fees. We are not liable for indirect, consequential, or lost-profit damages.

8. Confidentiality

Both parties agree to keep confidential any proprietary information shared during the engagement. This obligation survives termination of the agreement.

9. Termination

• Either party may terminate with 30 days written notice
• Client pays for all work completed up to termination
• Retainers: cancellable with 30 days notice, no refund for the current period

10. Governing Law

These terms are governed by the laws of the Republic of Estonia. Disputes shall be resolved in the courts of Tallinn, Estonia.

11. Changes

We may update these terms. Existing agreements remain under the terms in effect at the time of signing.
